
Infrastructure and Projects
We advise national and foreign investors interested in participating in new public or private infrastructure projects and/or public services related to: ports, highways, airports, urban roads, schools, hospitals, social housing, water treatment plants (including desalination plants) and sewage, logistics infrastructure, public cleaning services, among others, as well as in private investment projects on assets owned by the State under contract schemes for transfer of use, usufruct, surface area, among others (Projects on Assets). We also advise investors who already have contracts with the State, in the execution stage of the same, including the formulation and negotiation of Addenda. Our services include:
- Conducting due diligence processes covering corporate, contractual, environmental, labor, tax and regulatory aspects.
- Developing risk matrix associated with the Project.
- Structuring private bidding processes initiated by non-governmental entities for the award of Projects.
- Preparation bids for public tenders under Government-to-Government schemes.
- Participating in public-private partnership processes under self-financed or co-financed concession models and asset-based projects (transfer and/or exchange of state-owned real estate), use assignment agreements, leases, usufruct, surface rights, etc.
- Advising on the structuring, submission, processing (up to the declaration of interest), selection process, and contract execution of Private Initiatives.
- Structuring, processing, and managing Public Investment Projects under the Works for Taxes mechanism.
- Creating special purpose vehicles (SPVs), as well as drafting shareholders’ agreements, joint venture agreements, and consortium agreements.
- Structuring of EPC, O&M, supply and outsourcing contracts.
- Obtaining the necessary permits, authorizations and licenses necessary for the construction and/or operation of the project.
- Handling disputes arising with the Grantor, Bidding Entity, or Project Principal.
- The tax structuring of the project.
- Bankability analysis of concession contracts and the legal structuring of financial solutions.
- Title review procedures, acquisition and/or regularization of land, and the establishment of easements.
- Litigation that may arise in connection with a project.
